Agreement and eligibility

By accessing www.lefengjewelry.com, submitting an inquiry, creating or using an account, connecting an authorized platform account, requesting a sample or quotation, or purchasing services from Guangzhou Lefeng Jewelry Co., Ltd., trading as Lefeng Jewelry ("Lefeng," "we," "us," or "our"), you agree to these Terms and our Privacy Policy.

You must be at least 18 years old and legally capable of entering a binding agreement. If you act for a company or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the website or services.

B2B service scope

Lefeng provides business-to-business stainless steel jewelry development and manufacturing support, which may include design review, OEM/ODM development, private-label production, sampling, plating and finish planning, packaging, quality control, inspection coordination, and export support.

Website images, product references, descriptions, dimensions, colors, materials, finishes, minimum order quantities, sample timing, lead times, packaging examples, and other information are provided for general sourcing guidance. They may be changed, corrected, or withdrawn without notice and do not constitute an offer, guarantee, or commitment unless included in an accepted project document.

Requests for quotation, quotations, and samples

Requests for quotation

An RFQ should include enough information for meaningful review, such as product references or drawings, target quantity, material, dimensions, plating or finish, stone or enamel requirements, packaging, compliance requirements, destination, and required timing. We may request clarification before quoting.

Quotations

A quotation is valid only for the stated period and assumptions. Pricing may change if specifications, quantities, exchange rates, raw-material costs, testing requirements, packaging, destination, freight, duties, or other project conditions change. A project becomes binding only after written acceptance by Lefeng and receipt of any required deposit or payment.

Samples and prototypes

Samples and prototypes are development tools. Sample fees, mold or tooling fees, courier charges, revision limits, timing, and credit arrangements will be stated in the quotation or project communication. Unless expressly agreed otherwise, sample approval authorizes production using the approved sample and written specification, subject to reasonable manufacturing tolerances.

Specifications, materials, tolerances, and quality control

The buyer is responsible for reviewing and approving drawings, dimensions, materials, plating tone, stones, components, logos, labels, packaging, regulatory requirements, and other specifications before production. We are not responsible for an error that is visible in an approved sample, drawing, artwork, or specification unless we expressly agree in writing to correct it.

Jewelry manufacturing involves reasonable variation. Minor differences in color, plating tone, weight, polish, texture, stone appearance, measurements, welds, assembly, or packaging may occur within accepted samples, approved specifications, industry practice, or tolerances stated in the project documents.

Our quality control may include material, dimension, appearance, plating, assembly, stone setting, functional, packing, and quantity checks appropriate to the project. Buyer-requested laboratory testing, third-party inspection, country-specific certification, or special compliance documentation may require additional time and fees.

Pricing, payment, taxes, and fees

Prices and payment terms are stated in the applicable quotation, pro forma invoice, contract, or accepted order. Unless expressly included, pricing excludes freight, insurance, customs duties, import taxes, value-added tax, bank charges, third-party testing, special certification, storage, and destination charges.

Payments must be made using an approved method and in the agreed currency. The buyer is responsible for accurate billing information and all bank or intermediary fees unless otherwise agreed. We may pause sampling, procurement, production, or shipment if payment is late, incomplete, reversed, disputed without reasonable basis, or subject to compliance review.

Title to goods remains with Lefeng until amounts due for those goods are paid in full, to the extent permitted by applicable law. This reservation of title does not change any separately agreed transfer of shipping risk.

Production timing, changes, and cancellation

Lead times are estimates unless a written project document expressly states a guaranteed date. Timing may depend on sample approval, deposit receipt, material and component availability, holiday closures, testing, buyer responses, production capacity, logistics, customs, and events beyond reasonable control.

Requested changes after approval may affect price, tooling, scrap, minimum quantity, and delivery timing. We will identify material impacts where reasonably practicable. A change is effective only after written acceptance by Lefeng.

Custom and private-label orders use buyer-specific materials, tooling, labor, or capacity and may not be cancellable after procurement or production begins. If cancellation is accepted, the buyer must pay completed work, committed materials, tooling, non-refundable third-party costs, and other reasonable cancellation charges stated in the project documents.

Shipping, customs, risk, and delivery

The shipping method, delivery term, named place, insurance, freight allocation, and transfer of risk will follow the accepted quotation, invoice, purchase order, or applicable Incoterms rule. If no term is specified, we will propose a reasonable shipping arrangement for buyer approval.

The buyer is responsible for destination import licenses, product registrations, customs clearance, duties, taxes, restricted-party compliance, and local legal requirements unless a written agreement assigns a responsibility to Lefeng. Delivery dates provided by carriers or customs authorities are estimates outside our direct control.

The buyer must promptly provide accurate consignee and customs information. Additional costs caused by incorrect information, refusal, storage, redelivery, customs delay, or failure to collect may be charged to the buyer.

Inspection, claims, returns, and remedies

The buyer should inspect goods promptly after delivery and protect all packaging, labels, samples, photos, videos, inspection records, and affected items. Visible shortage, transit damage, or nonconformity should be reported within the period stated in the project documents or, if none is stated, within seven business days after delivery. Latent defects should be reported promptly after discovery.

A claim must identify the order, SKU, quantity, issue, and requested remedy and include reasonable evidence. We may request return samples or independent inspection. The buyer may not destroy, rework, resell as conforming, or return disputed goods without written authorization where doing so would prevent verification.

For a verified nonconformity attributable to Lefeng, the available remedy may include repair, rework, replacement, credit, or refund for the affected goods, as reasonably selected or agreed based on the circumstances. Custom goods are not returnable for change of mind, forecast changes, slow sales, or buyer-approved characteristics.

Buyer materials, designs, and intellectual property

You retain ownership of original materials you provide, subject to the rights needed for us to perform the requested services. You grant Lefeng and our authorized contractors a limited, non-exclusive right to use, reproduce, adapt, transmit, and manufacture from those materials solely for quotation, development, production, quality control, delivery, recordkeeping, and legal compliance.

You represent that you have all rights and permissions needed for designs, logos, trademarks, artwork, product references, files, and instructions you submit, and that our authorized use will not infringe another party's intellectual property, privacy, publicity, or contractual rights. We may decline or suspend work involving suspected counterfeit, replica, unauthorized branded, or otherwise infringing content.

Ownership and permitted use of tooling, molds, technical drawings, development files, and Lefeng-created designs will follow the written project terms. Unless expressly transferred in writing, Lefeng retains its pre-existing know-how, manufacturing methods, templates, processes, generic components, and independently developed intellectual property.

Confidentiality

Each party should protect non-public commercial, technical, pricing, design, and customer information identified as confidential or reasonably understood to be confidential. Confidentiality does not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. Required legal disclosures may be made after notice where legally permitted.

Social platforms, YouTube API Services, and third-party services

Our website or administrative tools may enable authorized connections to Facebook, Instagram, Pinterest, LinkedIn, YouTube, Google, or other third-party services. Your use of a connected feature is also governed by the applicable third party's terms, policies, permissions, and account controls. We are not responsible for a third party's availability, decisions, content moderation, account suspension, API changes, or independent data practices.

If you use a feature powered by YouTube API Services, you also agree to be bound by the YouTube Terms of Service. Google's processing is described in the Google Privacy Policy. Information about our processing of connected account data, permissions, tokens, revocation, and deletion is in our Privacy Policy.

You must connect only accounts you are authorized to administer and must review content before approving publication. You remain responsible for the legality, accuracy, permissions, disclosures, claims, and platform compliance of content submitted or published through your connected accounts.

Website content, accounts, and acceptable use

The website, including its text, layout, graphics, photographs, videos, product references, trademarks, logos, software, and other content, is owned by or licensed to Lefeng and is protected by applicable law. We grant you a limited, revocable, non-exclusive, non-transferable right to access the website for legitimate business evaluation and use of our services.

You must not:

• Use the website or services for unlawful, fraudulent, deceptive, infringing, abusive, or sanctions-violating activity.
• Submit malware, harmful code, false identity information, unauthorized personal data, or content you do not have the right to use.
• Attempt to bypass security, gain unauthorized access, interfere with service operation, overload systems, or probe vulnerabilities without written permission.
• Scrape, copy, reproduce, republish, reverse engineer, or commercially exploit website content or software except as permitted by law or written authorization.
• Use Lefeng names, logos, images, certificates, factory information, or product content to misrepresent affiliation, approval, product origin, or an existing commercial relationship.

You are responsible for safeguarding account credentials and for activity performed through your account or authorized platform connection. Notify us promptly of suspected unauthorized access.

Disclaimers, indemnity, and limitation of liability

Website disclaimer

To the maximum extent permitted by law, the website and general website content are provided on an "as is" and "as available" basis. We do not warrant uninterrupted operation, error-free content, or that every displayed product, finish, quantity, price, certification, or delivery option is available for a particular project.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, opportunity, or data, arising from these Terms or a project, even if advised that such damage was possible.

To the maximum extent permitted by law, Lefeng's aggregate liability arising from a specific order will not exceed the amount actually paid to Lefeng for the affected goods or services under that order. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where applicable.

Indemnity

You will defend, indemnify, and hold harmless Lefeng and its personnel from third-party claims, losses, and reasonable costs arising from materials or instructions you provide, your infringement of third-party rights, unlawful or unauthorized platform content, product claims or labeling controlled by you, your breach of these Terms, or your violation of law, except to the extent caused by Lefeng's breach or misconduct.

Events beyond reasonable control

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, epidemics, war, terrorism, labor disputes, fire, utility or network failure, government action, trade restrictions, material shortage, carrier disruption, customs delay, or supplier failure. The affected party should give reasonable notice and work to reduce the impact.

Suspension, governing law, and dispute resolution

We may limit, suspend, or terminate website access, an account, a connected integration, or affected services if reasonably necessary to address nonpayment, security risk, suspected fraud, infringement, unlawful conduct, sanctions concerns, platform requirements, or a material breach. Provisions that by their nature should survive will remain effective, including payment, confidentiality, intellectual property, claims, disclaimers, liability, indemnity, and dispute provisions.

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. The parties will first attempt in good faith to resolve a dispute through business discussions. If it is not resolved, the dispute will be submitted to a court of competent jurisdiction in Guangzhou, Guangdong Province, unless a controlling project agreement provides another forum or mandatory law requires otherwise.

Changes, general provisions, and contact

We may update these Terms to reflect service, business, platform, or legal changes. The effective date at the top identifies the current version. Changes apply prospectively when posted unless a later date is stated. Material changes to an active project will not replace an accepted project document without the agreement required by that document or applicable law.

If a provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms or an order without our written consent, except as permitted in an applicable project agreement. We may assign them in connection with a corporate reorganization, financing, or transfer of the relevant business.
